TERMS AND CONDITIONS OF USE

1. Acceptance of these Terms

1.1 These Terms and Conditions of Use (“Terms”) govern your access to and use of the Shopping Protection website, mobile sites and related services (together, the “Service”) provided by APH Services LLC, 16192 Coastal Highway, Lewes, Delaware 19958, USA (“Shopping Protection”, “we”, “us”, “our”).

1.2 By creating an account, starting a free trial, purchasing a subscription or otherwise using the Service, you confirm that you are at least 18 years old, have read these Terms, and agree to be bound by them. If you do not agree, do not use the Service.

1.3 These Terms incorporate by reference our Privacy Notice, Subscription Terms and Money-Back Policy. In case of conflict, the order of precedence is: (i) Subscription Terms, (ii) Money-Back Policy, (iii) these Terms.

2. Definitions

  • “Active Member” – an individual whose subscription fees are fully paid and current.
  • “Qualifying Purchase” – an online transaction paid with a personal Visa or Mastercard credit/debit card issued in your name.
  • “Claim Window” – the period beginning on the 15th day after a Qualifying Purchase and ending on the 90th day after that purchase.
  • “Content” – all text, data, files or other material you submit to us in connection with a refund claim.

3. Changes to Terms or Service

3.1 We may amend these Terms or modify/suspend the Service at any time to reflect new features, legal requirements or business needs. Updated Terms will be posted with a new “Last updated” date. Continued use after the effective date constitutes acceptance.

3.2 If a change materially diminishes the Service, you may cancel with effect from the change date and request a pro-rata refund for any prepaid unused period.

4. The Service

4.1 Shopping Protection is a post-purchase assistance subscription that, subject to these Terms, helps Active Members pursue refunds, chargebacks or other remedies when an online order goes wrong.

4.2 The assistance process may include, in our discretion:

  • amicable merchant outreach;
  • a formal mise en demeure (registered letter);
  • preparation of bank chargeback paperwork under Card Scheme rules (e.g., Visa Retrospective Dispute, Mastercard Chargeback);
  • referral to external lawyers or bailiffs for judicial escalation.

4.3 No guarantee of outcome. We cannot promise success; final decisions rest with the merchant, card issuer, or court.

5. Subscription, Fees & Free Trial

Full commercial terms, including automatic renewal and cancellation methods, are set out in the Subscription Terms. Key points:

You may cancel at any time with effect at the end of the current billing cycle. A 30-day money-back guarantee applies as described in our Money-Back Policy.

6. Eligibility to Make a Claim

To file a claim you must:

  1. be an Active Member on the date of filing;
  2. have made a Qualifying Purchase;
  3. submit the claim within the Claim Window (15–90 days);
  4. provide complete supporting documents, including purchase proof, correspondence, contracts, and (where applicable) proof of return;
  5. respect the limit of one open claim per Active Member per calendar week.

We reserve the right to request additional evidence or to refuse claims that appear dishonest, abusive, incomplete, out-of-time or outside card-scheme rules.

7. Exclusions

Shopping Protection does not cover:

  • purchases paid by methods other than personal Visa/Mastercard (e.g., PayPal, Klarna, gift-cards, crypto);
  • business or corporate card transactions;
  • goods bought for or on behalf of another person where you are not the named cardholder–retailer contractual party;
  • intangible assets, securities or real-estate deposits;
  • disputes already escalated to court, a card-scheme arbitration, an ombudsman or a regulator before your claim to us;
  • fraudulent activity or any transaction prohibited by law.

8. Your Responsibilities & Code of Conduct

You agree to:

  • provide accurate, lawful and non-misleading information;
  • use the Service only for personal, lawful purposes;
  • treat our staff with courtesy and refrain from abusive language.

Prohibited conduct includes scraping, reverse-engineering, automated access, reselling subscriptions, or submitting knowingly false claims.

9. Intellectual Property

All site content, logos and proprietary processes remain ours or our licensors’. We grant you a limited, revocable, non-transferable licence to use the Service for personal purposes only.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY—EXPRESS, IMPLIED OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, OR NON-INFRINGEMENT. Results are not guaranteed. Legal advice is not provided.

11. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability to you for any claim arising out of or relating to the Service will not exceed (i) the total fees paid by you to us in the 12 months preceding the event giving rise to liability, or (ii) £100—whichever is higher. We are not liable for indirect, special or consequential loss.

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your statutory consumer rights.

12. Indemnity

You will defend and indemnify us against all losses arising from (a) your breach of these Terms, (b) your misuse of the Service, or (c) any claim that the Content you supply infringes third-party rights or violates law.

13. Governing Law & Dispute Resolution

13.1 These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-laws principles, except that mandatory consumer protection laws of your habitual residence remain unaffected.

13.2 Informal resolution. Contact help@shopping-protection.com before taking formal action; we will attempt to resolve the issue.

13.3 Arbitration. Any dispute that cannot be settled informally shall be finally resolved by binding arbitration under the National Arbitration & Mediation (“NAM”) Comprehensive Rules. You may opt out within 30 days of first accepting these Terms by emailing help@shopping-protection.com with a clear opt-out statement.

13.4 Class-action waiver. You may only resolve disputes with us on an individual basis; class or representative actions are not permitted.

Residents of the UK/EEA may alternatively bring proceedings in the courts of their habitual residence.

14. Money-Back Guarantee

If you cancel within 30 days of your first paid charge and meet the conditions in our Money-Back Policy, we will refund 100 % of that charge to the original payment method.

15. Severability & Miscellaneous

If any provision is held unenforceable, the remaining provisions remain in force. Our failure to enforce a right is not a waiver. We may assign these Terms without notice; you may not. Electronic notices satisfy legal notice requirements. Headings are for convenience only.
